The Customer agrees to pay the fees for the Initial Subscription period, Additional Subscription Periods, and all applicable additional costs and fees. The Customer acknowledges and agrees to abide by the payment arrangement provided herein.
5.2. The Customer is obliged to pay the TOTAL amount specified in the Order Form for the Initial Subscription Period. Depending on the billing frequency and payment terms chosen in the Order Form, Interactio will issue the invoice(s) and the full payment for the Initial Subscription Period shall be made by the Customer either in one advanced payment before the Subscription Start Date or by quarterly equal payments before each Quarter.
5.3. If the Agreement is auto-renewed (as stated in Article 6.1), the Customer is obliged to pay a fee for each Additional Subscription Period. The fee for any Additional Subscription Period will be equal to the fee charged for the Initial Subscription Period, as provided in Article 5.2. unless the fee was changed in line with Article 5.6. The provisions of Article 5.2. regarding the payment terms and billing frequency shall mutatis mutandis apply to the fee payment for the Additional Subscription Periods. To avoid incurring charges for Additional Subscription Periods, the Customer shall provide a notice of non-renewal as specified in Article 6.1. of this Agreement. By doing so, the Customer effectively prevents the automatic renewal of the Agreement and any associated fees for the said Additional Subscription Periods.
5.4. The Customer's usage of the Platform, including additional Services, is subject to specified limitations and parameters as indicated in the Order Form or communicated by the Customer in accordance with these Terms & Conditions, such as a maximum number of hours per month and specific criteria for additional features like the number of recordings. If the Customer’s use of the Platform or other Services exceeds the capacity or quantities communicated by the Customer to Interactio and/or set forth in the Order Form or otherwise requires the payment of additional fees and costs incurred (per the terms of this Agreement), the Customer will be billed for such usage and costs based on the prevailing fees or pricing structure applicable at that time. Any such deviation will be invoiced separately after the end of each month and the Customer agrees to make a payment within thirty (30) calendar days after the issue of the invoice.
5.5. The Customer shall not be entitled to a refund or a reduction in the fees for any unused hours or other Services. The responsibility to monitor and utilize the hours and Services within the relevant Subscription Period lies solely with the Customer.
5.6. Interactio reserves the right to change the fees or applicable charges and to institute new charges and fees at the end of the Initial Term or then current renewal term, upon thirty (30) days prior notice to Customer (which may be sent by email).
5.7. Interactio shall bill through the invoices and has no obligation to provide any additional documents in order to initiate the payment unless otherwise stipulated in the Agreement. Invoices and debt reconciliation documents shall be sent by e-mail and treated as legally binding unless otherwise agreed by the Parties. The invoice shall also be deemed as a legally binding confirmation of the Services rendered.
5.8. If Customer believes that Interactio has billed Customer incorrectly, Customer must contact Interactio no later than seven (7) days after the issue of the invoice in which the error or problem appeared, in order to receive an adjustment or credit. Inquiries should be directed to Interactio Customer support department.
5.9. All payments under the Agreement shall be made by bank transfer, Interactio does not accept checks and cash as a means of payment. If approved in advance by Interactio, the Customer may make payments of fees with a credit card, provided, however, that the Customer shall be obligated to pay any such processing fee incurred by Interactio as a result of the Customer paying by credit card. As of the Agreement Conclusion Date, there is a 2.9% - 5% processing fee on all credit card payments. Any such processing fee shall be added to the invoice and become part of the amount to be paid by the Customer.
5.10. The payment is considered complete when the money is credited to the bank account. Any unpaid amounts are subject to a finance charge of 1.5% per month on any outstanding balance, or the maximum permitted by law, whichever is higher, plus all expenses of collection and may result in immediate termination of Service. The customer shall be responsible for all taxes associated with Services other than taxes based on Interactio net income. The Customer is informed that Interactio is entitled to suspend Service provision without additional notice in case of failure of the Customer to pay timely.
5.11. The Parties agree that Interactio shall invoice the Customer directly and any Customer’s request to issue the invoice to the third party having the contractual relationship with the Customer or otherwise related to the Customer is not binding Interactio unless otherwise agreed in writing by both Parties.
6. TERM AND TERMINATION
6.1. Subject to earlier termination as provided below, this Agreement is for the Initial Term as specified in the Order Form and shall be automatically renewed for additional periods of the same duration as the Initial Term (collectively, the “Term”), unless either party requests termination at least thirty (30) days prior to the end of the then current term.
6.2. Any Party may terminate this Agreement unilaterally upon ninety (90) days’ notice.
6.3.In addition to any other remedies it may have, either party may also terminate this Agreement upon ten (10) days’ notice (or without notice in the case of nonpayment or unauthorized reselling), if the other party materially breaches any of the terms or conditions of this Agreement or commits a non-material breach but does not rectify it within ten (10) after the request date.
6.4. All sections of this Agreement which by their nature should survive termination will survive termination, including, without limitation, accrued rights to payment, confidentiality obligations, warranty disclaimers, and limitations of liability.
7. PAYMENTS IN CASE OF TERMINATION
7.1. In case the Customer terminates the Agreement prematurely not due to the fault of Interactio (Article 6.2.) or Interactio terminates the Agreement due to a breach of the Customer (Article 6.3.), the Customer shall remain liable for all the fees payable under Section 5. The Customer acknowledges and agrees that the termination of this Agreement does not relieve the Customer from the obligation to pay all fees associated with the past and ongoing Subscription Periods, as well as all applicable additional fees, without any form of reduction. In case the Customer has not paid to Interactio before termination, the Customer shall transfer Interactio the above-mentioned amounts within three (3) calendar days after Interactio emailed request.
