1. DEFINITIONS
1.1 Agreement - Agreement for Interactio Platform usage and/or related services package. These Terms and Conditions for Interactio Join and Combine solutions (further - the Terms & Conditions) are an integral part of the Agreement.
1.2 Interactio Join solution means Interactio Platform‘s solution that allows use cases of the Platform as described in paragraph 3 of these Terms & Conditions.
1.3 Interactio Combine solution means Interactio Platform‘s solution that allows use cases of the Platform as described in paragraph 4 of these Terms & Conditions.
1.4 Interactio solution or Solution means either Interactio Join solution or Interaction Combine solution, or both solutions if the word is used in the plural.
1.5 Interactio Platform or Platform means the remote participation and/or simultaneous interpretation platform/system developed and owned by Interactio.
1.6 Third-party meeting platform means the remote participation and/or simultaneous interpretation platform/system developed and/or owned by any third party.
1.7 Online participant means an individual who actively engages, interacts, or takes part in an Event by joining the Even remotely using the Platform or Third-party meeting platform, and based on the rights granted may have the ability to contribute, speak and participate in discussions, present slides or other material, chat, participate in the poll, share files, see the participants/viewers list, or otherwise collaborate virtually.
1.8 Online viewer means an individual who passively observes, watches, or views an Event, by joining the Even remotely using the Platform or Third-party meeting platform, and has no interactive capabilities, but can listen to the content of the Event and based on the rights granted may have the ability to chat, participate in the poll, share files, see the participants/viewers list.
1.9 Onsite participant means an individual who physically attends and actively engages in an Event at a designated physical location and based on the rights granted for the use of the Platform may have the ability to contribute, speak and participate in discussions, present slides or other material, chat, participate in the poll, share files, see the participants/viewers list, or otherwise collaborate.
1.10 Onsite viewer refers to an individual who physically attends an Event at a designated physical location but primarily observes, watches, or views the proceedings without actively participating or engaging in the Event and based on the rights granted for the use of the Platform may have the ability to chat, participate in the poll, share files, see the participants/viewers list.
1.11 Interpreter means a person who is proficient in two or more languages and provides simultaneous interpretation from one language to another during the Events.
1.12 Hardware means audio equipment that is capable of distributing multi-channel/language sources.
Other definitions used in these Terms & Conditions shall have the same meaning as is prescribed in the Agreement and Interactio standard terms and conditions.
2. ORDERING THE SOLUTIONS
2.1 Depending on the specific requirements, objectives, or preferences, the Customer may select to order Interactio Join solution, Interactio Combine solution, or both Solutions when signing the Agreement or making the additional orders after the signing of the Agreement (in line with Interactio standard terms and conditions).
2.2 The Customer shall pay the applicable fees associated with the selected Solution(s), as specified in the Agreement, Interactio standard terms and conditions, and invoices.
3. ACCEPTABLE USE OF INTERACTIO JOIN SOLUTION
3.1 The Customer may use Interactio Join solution only in accordance with paragraph 3 of these Terms & Conditions.
3.2 Interactio Join solution allows the following use cases of the Platform:
3.2.1 Online participants are using Platform to participate in the Event;
3.2.2 Online participants/viewers are using Platform to receive interpretation;
3.2.3 Onsite participants are using Platform to participate in the Event;
3.2.4 Onsite participants/viewers are using Platform to receive interpretation;
3.2.5 Interpreters are using Platform to interpret.
3.3 In case the Platform is used in connection with a Third-party meeting platform, Interactio Join solution covers the following use cases:
3.3.1 Online participants are using a Third-party meeting platform to participate in the Event;
3.3.2 Online participants/viewers are using a Third-party meeting platform or Platform to receive interpretation;
3.3.3 Onsite participants/viewers are using Platform to receive interpretation;
3.3.4 Interpreters are using Platform to interpret.
4. ACCEPTABLE USE OF INTERACTIO COMBINE SOLUTION
4.1 The Customer may use Interactio Combine solution only in accordance with paragraph 4 of these Terms & Conditions.
4.2 Interactio Combine solution allows the following use cases of the Platform:
4.2.1 Online participants are using a Third-party meeting platform or Platform to participate in the Event;
4.2.2 Online participants/viewers are using a Third-party meeting platform or Platform to receive interpretation;
4.2.3 Onsite participants are using hardware, hardware and Platform, or Platform to participate in the Event;
4.2.4.Onsite participants/viewers are using hardware, hardware and Platform, or Platform to receive interpretation;
4.2.5 Interpreters are using hardware, hardware and Platform, or Platform to interpret.
5. PROHIBITED USE AND RIGHT TO INSPECT
5.1 The Customer acknowledges and agrees that the usage of the Platform is subject to certain restrictions and prohibited uses. The Customer shall not engage in any activities that are prohibited or not allowed by Interactio standard terms and conditions and this clause, or as specified in the Agreement or accompanying documentation.
5.2 The Customer acknowledges that Solutions may have different scopes, customization options, or specific configurations and therefore as a rule are subject to different applicable fees. The Customer understands that it is prohibited to use the Solution other than the ordered Solution. The Customer is also aware that it is prohibited to use the Solutions for more Events than indicated in the Agreement and additional orders (if applicable). The Customer may request a change from one Solution to another and/or increase the scope of usage subject to Interactio approval and any applicable fees.
5.3 The Customer grants Interactio the right to inspect and verify the proper usage of Solutions. Interactio, or its authorized representatives, may conduct inspections at reasonable intervals, accessing the Customer's premises, systems, and records as necessary. The Customer shall cooperate and provide the required information. Interactio will treat inspection information as confidential. Interactio shall not be held liable for any damages or losses incurred by the Customer as a result of the inspection, except in cases of gross negligence or willful misconduct.
6. REMEDIES
6.1 In case of prohibited use, Interactio may, at its discretion, take one or more of the following remedial actions:
6.1.1 Notify the Customer of the violation and provide an opportunity to rectify the situation within a specified time period;
6.1.2 Require that the Customer orders and obtains access to the correct Solution for the intended use;
6.1.3 Invoice the Customer for the price difference between the purchased Solution and the more expensive Solution actually used, retroactively applying the appropriate fees from the date of unauthorized use.
6.1.4 Invoice the Customer for the excess usage of the purchased Solution;
6.1.5 Suspend the Customer's access to the Platform until the violation is resolved to the satisfaction of Interactio.
6.1.6 If the Customer fails to cure the non-compliance within the specified cure period, terminate the Agreement. Upon termination, the Customer shall cease all use of the Platform;
6.1.7 Seek legal action to enforce compliance, seek damages, and/or other available remedies as permitted by applicable law.
6.2 In any event, the Customer shall be liable for all damages suffered by Interactio as a result of prohibited use, including actual damages, consequential damages, any legal fees or costs, and any additional damages as permitted by applicable law. The Customer agrees to indemnify and hold harmless Interactio against any claims or liabilities arising from the Customer's unauthorized or prohibited use of the Platform.
6.3 The failure of Interactio to enforce any right or remedy in response to the Customer's prohibited use shall not constitute a waiver of such right or remedy, nor shall it prevent Interactio from exercising such right or remedy in the future.
6.4 Interactio shall not be liable for any losses or damages incurred by the Customer resulting from access to the Platform suspension or termination of the Agreement.
7. MISCELLANEOUS
7.1 Any provisions or obligations under these Terms & Conditions that, by their nature, extend beyond the termination of the Agreement shall survive such termination and shall continue to be binding upon the parties.
7.2 The Customer confirms reading the provisions hereof and understanding the scope of Interactio Join solution and Interactio Combine solution, as well as the acceptable and prohibited use.
7.3 Interactio is entitled to change these Terms & Conditions, as well as the scope of Interactio Join solution and Interactio Combine solution, unilaterally. The new version of terms and conditions becomes binding on the Customer ninety (90) days after notification via email.
